                                  Pre- Launch Guidelines

1. MXI Corp will be issuing a no-charge, UK Pre-launch Associate Agreement outlining what the prospective UK Associate may and may not do until the official UK launch on January 30th, 2009.

2. UK Pre-launch Associate Agreement between the Company and the prospective UK Associate will allow the prospective UK Associate to record their contact details with MXI Corp, select their sponsor, and select their placement.

3. UK Pre-launch Associate Agreement only binds the Company to respect prospective UK Associate's selections for a period of 14 days post official launch on January 30th, 2009.

4. Prospective UK Associates may not purchase product from MXI Corp or existing MXI Associates.

5. MXI Corp Associates located in the United States, Canada, Japan, Australia and New Zealand may ship prospective UK Associates very small quantities of Xoçai? products clearly marked as "Samples, Not For Resale."

6. Existing MXI Corp Associates or prospective UK Associates are not permitted to hold meetings in the UK to promote the business opportunity.

7. Existing MXI Corp Associates or prospective UK Associates are permitted to hold meetings in the UK to discuss the product. However, any samples that are offered must be consumed during these meeting, no exceptions. Meeting hosts must make it clear that the samples are of the US products and may be slightly different from the product to be marketed in the UK due to legal requirements.

8. Prospective UK Associates may not enroll via the US website as a US or other country Associate.

9. MXI Corp will be introducing on January 30th, 2009 UK compliant product information and business opportunity details.

10. MXI Corp will be introducing on or before January 30th, 2009 a UK compliant website at www.mxicorp.eu.

11. Prospective UK Associates are not permitted to link their personal websites, email addresses, social networking sites, Facebook, Myspace, etc., to any United States, Canada, Japan, Australia or New Zealand Corporate or MXI Associate websites.

12. All Back-Offices registered to UK associates will be temporary disabled until the official UK launch on January 30th, 2009.

13. During pre-launch period, since no product is being purchased, MXI Corp will not be paying any commissions to UK residents. UK Commissions will be calculated and paid after the official UK launch on January 30th, 2009

14. Any Prospective UK Associate who enrolls using an address from the United States, Canada, Japan, Australia or New Zealand to circumvent these UK pre-launch guidelines may be terminated. MXI Corp Compliance
